Terms of Service for Vendors

Welcome to Anygoodie! These Terms of Service form a legally binding agreement between you (the "Vendor") and AnyGoodie Limited regarding your use of our digital voucher platform.

By registering as a Vendor and using our Service, you're accepting these Terms in full. If you don't agree with any part of them, please don't use our Service.

1. Definitions

Let's clarify what we mean by certain words in these Terms:

"Anygoodie" refers to Anygoodie Limited, the company that operates this digital voucher platform. "Service" means the Anygoodie platform, website, and all the related services we provide to help you connect with local customers.

"Vendor" means you - any business, organisation, or individual who creates and distributes vouchers through our platform. "Recipient" refers to any person who receives, claims, or redeems one of your vouchers.

A "Voucher" is any digital offer, discount, or promotion you create using our Service, and "Redemption" is the process when a recipient actually uses that voucher at your business.

2. The Service

2.1 What We Provide

We've built a platform that helps you create digital vouchers containing your special offers, discounts, or promotions. You can distribute these to both potential and existing customers, track who's using them, and build stronger relationships with your local community.

2.2 Account Verification

We take the authenticity of our platform seriously, which means we need to verify that every business on Anygoodie is genuine. When you sign up, we'll endeavour to validate your business by looking for your online presence and/or by contacting you directly.

We understand that many local businesses don't have a public online presence - this is perfectly normal and won't prevent you from using our Service. However, we may pause your account while verification is in progress, and businesses without an online presence may receive additional monitoring to ensure all offers are legitimate.

As part of this process, we may reach out to other members of your organisation if we believe they're the main point of contact for the business. This helps us reduce false accounts and ensures all offers on our platform are genuine - protecting both vendors and recipients.

If it appears that an account is not a genuine business or has been created by an unauthorised person, we may suspend or delete the account. This protects our community and maintains trust in the Anygoodie platform.

The verification process is straightforward and designed to be as quick as possible while maintaining the integrity of our community. We appreciate your patience and cooperation during this process.

3. Voucher Creation and Management

3.1 Your Responsibilities

When you're creating vouchers, it's important to provide accurate information about your business and create genuine offers that you can actually deliver. Make sure you set clear, fair terms for each voucher that comply with UK consumer protection laws. We trust you not to create anything misleading or deceptive - your reputation depends on it as much as ours does.

You're responsible for ensuring your vouchers are age-appropriate. If your offer involves age-restricted products or services (like alcohol or certain entertainment), you must clearly state these restrictions in the voucher terms. This protects both you and your customers.

3.2 Prohibited Uses

There are some things vouchers simply can't be used for. You cannot use them for games of chance, competitions, or any form of gambling. They're also not suitable for pyramid schemes, multi-level marketing, illegal products or services, adult entertainment, or any discriminatory purposes. Essentially, if it violates UK law, it doesn't belong on our platform.

3.3 Maximum Voucher Value

To keep things reasonable and protect everyone involved, we've set a maximum value of £500 for any single voucher. This includes monetary discounts, free products or services, and the value of any upgrades or add-ons. If you have offers that exceed this total value, please contact us using the feedback button and we'll discuss options with you.

3.4 Voucher Ownership and Control

You retain full ownership and control of your vouchers. You can pause their distribution whenever you need to, or cancel them entirely. You can also modify the terms for future distributions - though this won't affect vouchers that have already been distributed. Those existing vouchers may continue to be shared by recipients until their expiry date (unless you've specifically restricted sharing), and you'll need to honour them under their original terms.

You have the right to decide whether your vouchers can be shared or transferred. Some vouchers work brilliantly when shared between friends and family, while others you might want to keep personal to the original recipient. Just make sure you clearly state any sharing restrictions in your voucher terms.

When you want to set limits on redemptions or make other changes, remember that you must honour any voucher that's been legitimately claimed by a recipient before you made those changes. It's only fair.

4. Fees and Payment

4.1 Subscription Fees

Our subscription model is straightforward — please refer to your account page for your current pricing. There’s no fixed contract period, and you can cancel at any time. However, please note that cancellation takes effect after your final paid period ends and all distributed vouchers have either been redeemed or expired (see Section 9.1 for details).

4.2 Voucher Fees

We charge per redeemed voucher, so you only pay for vouchers that customers actually use. The minimum purchase requirement applies to ensure campaigns are meaningful. Community groups and verified charities only pay for redeemed vouchers - there's no upfront cost, subject to our verification process.

4.3 Payment Terms

All our fees are exclusive of VAT and payments are due in advance. We accept major credit and debit cards, and if payments aren't made on time, we may need to suspend your Service access.

5. Your Obligations

Running a successful voucher programme means honouring all legitimate voucher redemptions and treating recipients fairly and professionally. Keep your business information accurate and up-to-date, respond promptly to customer enquiries, and please don't try to game or manipulate the system - it never ends well.

6. Intellectual Property

6.1 Your Content

You keep ownership of everything that's yours - your business name, logos, any photos or images you upload, and the offer descriptions you write. By uploading content to our platform, you're simply giving us permission to use it for operating the Service and distributing your vouchers.

6.2 Our Property

We retain all rights to the Anygoodie platform and its technology, our brand and trademarks, the voucher templates and designs we've created, and any aggregated analytics data.

7. Limitation of Liability

7.1 Our Liability to You

To be completely clear about our respective responsibilities, and to the maximum extent permitted by law, we're not liable for any indirect, consequential, or punitive damages. This includes lost profits, revenue, or business opportunities. Our total liability to you won't exceed the fees you've paid us in the preceding three months. We're also not responsible for how recipients behave or act.

7.2 Your Liability

You agree to indemnify us against any claims arising from your vouchers or business practices. You're solely responsible for honouring your vouchers and handling all customer service issues related to redemptions. We strongly recommend you maintain appropriate business insurance.

7.3 Liability to Recipients

Our Terms of Service for recipients state that vendor liability is limited to:

  • The reasonable monetary value of the benefit the voucher was intended to provide (whether that's a free item, discount, add-on, or other offer)
  • Direct losses only
  • Claims must be made within 30 days of the issue arising

However, if these limitations fail to hold in court or any other official body for any reason, you (the vendor) remain fully liable to the recipient. Anygoodie is not liable for any claims between you and recipients, regardless of whether these limitations are enforceable. This is your risk as a vendor, so please ensure you have appropriate business insurance and honour all legitimate vouchers properly.

8. Data Protection

8.1 Privacy Compliance

We both need to comply with UK GDPR and data protection laws. We process data as outlined in our Privacy Policy, which forms part of these Terms.

8.2 Customer Data

Our voucher service works in part because recipients know we will not disclose their details. We take this trust seriously. While we provide a client list function that allows you to send vouchers to people who've redeemed from you before, we will never give you their email addresses or contact details. We handle all distribution on your behalf to protect recipient privacy.

When someone redeems a voucher, we'll show you their first name and the first name of the person who shared it with them. If you need additional customer information at the point of redemption, you can ask for it directly - but this falls under your own privacy policy and data protection obligations, not ours. Make sure you have appropriate privacy policies in place and only collect what you genuinely need.

Any recipient data you obtain through our Service should only be used for fulfilling voucher redemptions, providing customer service, and lawful direct marketing (when you have appropriate consent). Please respect your customers' privacy.

9. Termination

9.1 Termination by You

You can cancel your account at any time. Here’s how it works:

When you cancel, your account remains active until two conditions are met:

  1. Your current (and final) paid period has ended; and

  2. All vouchers you’ve distributed have either been redeemed or expired.

If you’d like to bring your cancellation date forward, you can use the “Set a different end date” option on your active vouchers. This will shorten their validity period. Customers generally don’t like this approach, but it’s available if you need to close your account sooner.

We’ll notify anyone holding a voucher about the new expiry date. Once all your vouchers are redeemed or expired, your account will close automatically.

Once the conditions above are met, your account will close automatically. At that point, we'll remove your personal account data, but all voucher-related information stays in our system as part of recipients' records. This includes your business details and all information about your offers - whether redeemed or not. We do this so recipients can always look back at their voucher history.

9.2 Termination by Us

We may need to terminate your account immediately if you breach these Terms materially, fail to pay fees, use the Service fraudulently, or damage our reputation. However, if we terminate your account, existing vouchers must still be honoured unless we deem them to be inappropriate or illegal. The liability for any such vouchers remains with you as the vendor.

10. Dispute Resolution

10.1 Between You and Recipients

You're responsible for resolving any disputes with recipients directly. While we may help facilitate contact, we're not a party to these disputes.

10.2 Between You and Us

Should any disputes arise between us, we'll first try to resolve them through good faith negotiation. If that doesn't work, we'll move to mediation, and finally, if necessary, to the courts of England and Wales.

11. General Terms

11.1 Entire Agreement

These Terms constitute our entire agreement regarding the Service. They supersede any previous understandings or agreements.

11.2 Severability

If any provision of these Terms is found to be invalid, the remaining Terms will continue in full effect.

11.3 No Waiver

If we don't enforce any right immediately, it doesn't mean we're waiving that right for the future.

11.4 Governing Law

These Terms are governed by the laws of England and Wales.

11.5 Updates to Terms

We may update these Terms from time to time. When we do, we'll post the new version on our website and notify you by email. For material changes, we'll give you 30 days' notice.
